Welcome to Sudarsan Services. These Terms and Conditions ("Terms") govern your use of our services, including but not limited to web development, mobile application development, hardware diagnostics, AI/ML integration, custom PC building, and technical support ("Services"). By engaging our Services, you ("Client") agree to be bound by these Terms.
1. Scope of Services & Project Proposals
All services to be provided by Sudarsan Services will be documented in a "Project Proposal" or "Scope of Work" document. This document will outline the project goals, deliverables, timelines, and costs. Any work requested by the Client that falls outside the scope of this document will be considered a "change request" and may be subject to additional fees and timeline adjustments.
2. Client Responsibilities
The Client agrees to provide all necessary information, content (text, images, data), and access to systems (e.g., hosting, app store accounts) required for Sudarsan Services to perform the work. The Client is responsible for the accuracy and legality of all provided materials. Delays in providing these materials may result in project timeline extensions.
3. Fees and Payment
3.1. Pricing
Project costs will be as stated in the Project Proposal. Unless otherwise specified, our standard payment structure is as follows:
- 50% Deposit: A non-refundable deposit is required before any work commences.
- Milestone Payments: For larger projects, payments may be structured around project milestones as defined in the Project Proposal.
- Final Payment: The remaining balance is due upon project completion and before the final deliverables (e.g., website launch, source code transfer) are handed over to the Client.
3.2. Late Payments
Invoices are due upon receipt. Payments not received within 15 days of the due date will incur a late fee of 5% of the outstanding amount per month.
3.3. Third-Party Expenses
The Client agrees to reimburse Sudarsan Services for any third-party expenses necessary for project completion, such as stock photos, fonts, software licenses, plugins, or hosting fees.
4. Intellectual Property Rights
4.1. Client Ownership
Upon receipt of full and final payment, the Client will own the intellectual property rights to the final, delivered project (e.g., the unique design, written code, and compiled application).
4.2. Sudarsan Services' Retained Rights
Sudarsan Services retains the ownership of all pre-existing code, libraries, frameworks, tools, and general programming knowledge used to create the project. The Client receives a perpetual, non-exclusive license to use these underlying elements as part of the final deliverable. Sudarsan Services also retains the right to display the completed project in its portfolio and marketing materials.
5. Limited Warranty & Support
Sudarsan Services provides a 30-day warranty period following the project launch or final delivery. During this time, we will correct any bugs or errors that are a direct result of our work and within the original Project Proposal. This warranty does not cover issues caused by third-party software, hosting environments, or changes made by the Client after delivery. Additional support and maintenance can be provided under a separate service agreement.
6. Limitation of Liability
Sudarsan Services shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business interruption, arising from the use or inability to use our Services. In no event shall the total liability of Sudarsan Services for any claim, whether in contract, tort, or otherwise, exceed the total amount of fees paid by the Client to Sudarsan Services for the specific project in question.
7. Confidentiality
Both parties agree to keep all non-public information and materials shared during the project confidential. This includes business strategies, login credentials, and proprietary data. This obligation of confidentiality will survive the termination of our engagement.
8. Termination
Either party may terminate the project with 15 days written notice. If the Client terminates the project, they agree to pay for all work completed up to the date of termination. If Sudarsan Services terminates the project, we will issue a refund for any work not yet completed. Upon termination, all outstanding payments must be settled, and completed work will be delivered to the Client.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Andhra Pradesh, India. You agree that any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts located in Tirupati, Andhra Pradesh, India.
10. Modification of Terms
Sudarsan Services reserves the right to revise these Terms at any time. The most current version will always be posted on our website. Continued use of our Services after any such changes constitutes your acceptance of the new Terms.
